Wide-ranging changes to Japan’s financial regulations that categorize cryptocurrencies as financial products have made it possible for domestic exchange-traded funds, lower cryptocurrency taxation, and more stringent market regulation.

The Financial Instruments and Exchange Act modifications were accepted by the House of Councillors on Wednesday, completing the bill’s passage through both chambers of the Diet, according to Japan’s national broadcaster NHK.

Alongside more conventional financial goods like stocks and bonds, the law establishes a distinct legal category for cryptocurrency assets. The Payment Services Act had previously governed cryptocurrencies as a payment mechanism rather than as investment items.

The modified law strengthens fines for unregistered enterprises, mandates yearly reports from issuers of specific cryptocurrency assets, and restricts insider trading for cryptocurrency transactions.

According to CoinPost, the maximum penalties for operating without registration will increase from 3 million yen to 10 million yen, or roughly $18,500 to $61,600, and the maximum prison sentence would increase from three years to ten years.

The ETF framework and tax reforms advance
In addition to market behavior regulations, the revisions include a three-year loss carry-forward deduction and separate taxation of cryptocurrency gains at an effective rate of roughly 20%. Profits from cryptocurrencies are now treated as miscellaneous income in Japan, where tax rates can reach 55%.

CoinPost reports that as enforcement is slated to start during the 2027 fiscal year, those tax rules are anticipated to go into effect in January 2028.

Tax changes and ETF framework move forward

In addition to market behavior regulations, the revisions include a three-year loss carry-forward deduction and separate taxation of cryptocurrency gains at an effective rate of roughly 20%. Profits from cryptocurrencies are now treated as miscellaneous income in Japan, where tax rates can reach 55%.

CoinPost reports that as enforcement is slated to start during the 2027 fiscal year, those tax rules are anticipated to go into effect in January 2028.

Additionally, the law establishes the framework for the issuance of domestic spot cryptocurrency exchange-traded funds. According to CoinPost, traditional financial institutions are anticipated to act as issuers when the Japan Exchange Group considers offering the first local cryptocurrency ETFs as early as 2027. According to the article, spot bitcoin ETF approval has not yet been verified.

The law is anticipated to go into force within a year of its issuance, and how the new regulations are applied will be decided by cabinet ordinances and supervisory guidelines.
